These Terms and Conditions (“Terms”) govern your access to and use of the Haitian Business Directory website, mobile application, business-directory services, and related features (collectively, the “Platform”).

The Platform is owned and operated by Haitian Business Directory LLC, a Florida limited liability company (“HBD,” “we,” “us,” or “our”).

By accessing the Platform, creating an account, submitting a business listing, purchasing a service, posting a review, or otherwise using the Platform, you agree to these Terms. If you do not agree, you must not use the Platform.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to create a business account, purchase services, or submit a business listing.

If you use the Platform on behalf of a business or organization, you represent that you have authority to accept these Terms on its behalf.

2. Purpose of the Platform

HBD provides an online directory that helps users discover businesses, professionals, organizations, products, and services, particularly within the Haitian community.

HBD is a directory and promotional platform. Unless expressly stated otherwise, HBD:

• Does not own, operate, manage, or control listed businesses.
• Is not an employer, agent, partner, representative, or guarantor of any listed business.
• Does not participate in transactions between users and listed businesses.
• Does not guarantee the quality, legality, safety, availability, pricing, licensing, insurance, qualifications, or performance of any business.
• Does not guarantee that information provided by a business or third party is complete, accurate, or current.

Users are responsible for conducting their own research before hiring, purchasing from, paying, visiting, or entering into an agreement with any listed business.

3. Business Accounts

Certain Platform features may require an account.

You agree to:

• Provide accurate, complete, and current information.
• Keep your login credentials confidential.
• Maintain only accounts and listings you are authorized to manage.
• Promptly update information that changes.
• Notify HBD if you suspect unauthorized access to your account.
• Accept responsibility for activity conducted through your account.

HBD may request documentation to confirm your identity, your connection to a business, or the accuracy of submitted information.

HBD may reject, restrict, suspend, or terminate an account when reasonably necessary to protect users, the Platform, or HBD.

4. Business Listings

Businesses may be permitted to create or claim free or paid directory listings.

By submitting or managing a listing, you represent and warrant that:

• You own the business or are authorized to act for it.
• All submitted information is accurate and not misleading.
• The business operates lawfully.
• Required licenses, permits, registrations, and insurance are valid and current.
• Photos, logos, videos, descriptions, and other materials do not violate another person’s rights.
• You will promptly correct outdated or inaccurate information.
• Your listing will not promote illegal, fraudulent, deceptive, dangerous, or prohibited activities.

HBD may edit formatting, categories, spelling, spacing, or presentation without changing the material meaning of a listing.

HBD may refuse or remove any listing that violates these Terms, creates a safety or legal concern, damages the integrity of the directory, or is otherwise inappropriate for the Platform.

5. Claiming an Existing Listing

HBD may create basic business listings using publicly available information, information supplied by third parties, or information previously provided to HBD.

The existence of a listing does not mean the business has claimed, approved, endorsed, or paid for it.

A person requesting control of an existing listing may be required to verify ownership or authorization. HBD may deny or reverse a claim if the information provided cannot be verified or if a legitimate dispute arises.

6. Verification

HBD may offer identity, ownership, licensing, registration, or other verification processes.

A verification badge or similar label means only that HBD completed the specific verification process described at that time. It is not:

• A guarantee of quality or performance.
• An endorsement or recommendation.
• A guarantee that the business will remain licensed, insured, active, or compliant.
• A substitute for a user’s independent investigation.

Verification may expire, be revoked, or require renewal.

7. Free and Paid Services

HBD may offer:

• Free business listings.
• Enhanced or premium listings.
• Featured or sponsored placement.
• Advertising and promotional services.
• Subscription plans.
• Verification services.
• Other paid features.

Prices, billing periods, features, and applicable conditions will be disclosed before purchase.

Purchasing a paid service does not guarantee:

• A specific number of views, clicks, contacts, customers, or sales.
• A particular search position, except for specifically identified sponsored placement.
• Approval of content that violates these Terms.
• Positive reviews or ratings.
• Paid, featured, advertised, or sponsored placements may be labeled to distinguish them from ordinary directory results.

8. Payments

You authorize HBD and its payment processors to charge the payment method you provide for all selected services, applicable taxes, and disclosed fees.

You agree to provide accurate billing information and to keep your payment method current.

HBD does not directly store complete payment-card information when payments are processed by an independent payment provider. Your use of that provider may also be governed by its terms and privacy policy.

HBD may suspend paid features when payment is declined, reversed, disputed, or overdue.

9. Subscriptions and Automatic Renewal

If HBD offers an automatically renewing subscription, the price, billing frequency, renewal terms, and cancellation method will be disclosed before enrollment.

By purchasing an automatically renewing subscription, you authorize recurring charges until the subscription is canceled.

Unless otherwise stated at checkout:

• Cancellation stops future renewal charges.
• Access to paid features continues through the end of the paid billing period.
• Cancellation does not retroactively refund charges already processed.

HBD will provide any renewal notices required by applicable law.

10. Cancellations and Refunds

The cancellation and refund terms displayed at checkout or in the applicable service order form will govern your purchase.

Unless otherwise stated in writing, fees for completed advertising, verification, promotional work, or a billing period that has already begun are nonrefundable, except when required by law.

If HBD cannot provide a paid service because of an error within HBD’s reasonable control, HBD may, at its discretion:

• Correct or repeat the service;
• Extend the service period;
• Provide account credit; or
• Issue a full or partial refund.

A business must contact HBD before initiating a payment dispute so that HBD has a reasonable opportunity to investigate and resolve the issue.

11. Search Results and Placement

HBD may organize and display directory results using factors such as:

• Business category.
•  
• Completeness of the listing.
• Verification status.
• User activity or engagement.
• Featured or sponsored status.
• Other Platform-related factors.

HBD may change its search, ranking, and recommendation systems at any time. Organic placement is not guaranteed.

A business may not misrepresent a paid placement as an independent award, endorsement, or recommendation from HBD.

12. Reviews and Ratings

Users may be permitted to submit reviews, ratings, photos, comments, or other feedback.

A reviewer must:

• Describe a genuine experience with the business.
• Provide truthful and non-misleading information.
• Disclose any personal, employment, ownership, family, or financial relationship with the business.
• Disclose any incentive received for submitting the review.
• Avoid threats, harassment, discrimination, obscenity, impersonation, and personal attacks.
• Avoid publishing confidential information or unnecessary personal data.
• Avoid making knowingly false accusations.
• Avoid posting the same review repeatedly.
• Avoid reviewing a competitor for the purpose of unfairly harming that competitor.
• Businesses and users may not:
• Create or purchase fake reviews.
• Use artificial intelligence or another person to fabricate experiences.
• Offer compensation conditioned on a positive or negative review.
• Threaten or improperly pressure users to remove honest negative reviews.
• Submit reviews through employees, relatives, agents, or affiliates without clearly disclosing the relationship.
• Manipulate ratings or other indicators of reputation.

HBD may investigate, reject, hide, label, or remove reviews that violate these Terms, applicable law, or Platform integrity standards.

HBD does not guarantee that every review will be published or that published reviews will remain available indefinitely.

Removal of a review does not necessarily mean HBD agrees or disagrees with the reviewer or the business.

13. Responding to Reviews

Listed businesses may be permitted to respond to reviews.

Responses must remain professional and must not reveal confidential, medical, financial, identifying, or other protected information about a customer.

Businesses may dispute a review through HBD’s reporting process. A disagreement with a negative opinion, by itself, does not require HBD to remove the review.

14. User Content

“User Content” includes business descriptions, logos, photos, videos, reviews, responses, messages, documents, and other material submitted to the Platform.

You retain ownership of your User Content.

By submitting User Content, you grant HBD a nonexclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, format, adapt, publish, display, distribute, and promote that content for purposes connected with operating, marketing, and improving the Platform.

This license continues for as long as the content remains on the Platform and for a reasonable backup, legal, or archival period afterward.

You represent that you own the User Content or have all permissions needed to submit it.

15. Prohibited Activities

You may not use the Platform to:

• Violate any applicable law or regulation.
• Commit fraud or impersonate another person or business.
• Publish false, deceptive, or materially misleading information.
• Infringe copyrights, trademarks, privacy rights, publicity rights, or other legal rights.
• Scrape, copy, harvest, or systematically extract Platform data without written permission.
• Sell, license, republish, or create another directory using HBD data without authorization.
• Introduce malware, malicious code, or harmful technology.
• Attempt to bypass Platform security.
• Interfere with the operation of the Platform.
• Send spam or unauthorized solicitations.
• Collect personal information from users for unlawful purposes.
• Manipulate reviews, rankings, traffic, or engagement.
• Harass, threaten, discriminate against, or exploit another person.
• Promote illegal products, services, or activities.
• HBD may take appropriate action, including content removal, account suspension, account termination, and referral to law enforcement.

16. Communications

By providing contact information, you consent to receive service-related communications concerning your account, listings, purchases, verification, security, and Platform updates.

Marketing messages will be sent in accordance with applicable law. You may unsubscribe from marketing communications using the provided opt-out method.

You may still receive essential administrative or transactional communications after opting out of marketing messages.

17. Intellectual Property

The HBD name, logo, Platform design, original text, graphics, software, databases, and other HBD-created materials are owned by or licensed to Haitian Business Directory LLC and are protected by applicable intellectual-property laws.

These Terms do not transfer ownership of HBD intellectual property to you.

You may not copy, reproduce, modify, distribute, sell, license, reverse engineer, or commercially exploit HBD intellectual property without prior written permission, except as permitted by law.

Business names, logos, photographs, and trademarks appearing in listings may belong to their respective owners.

18. Copyright Complaints

If you believe content on the Platform infringes your copyright, send HBD a written notice containing:

• Your name and contact information.
• Identification of the copyrighted work.
• Identification and location of the allegedly infringing material.
• A statement that you have a good-faith belief that the use is unauthorized.
• A statement, made under penalty of perjury, that the information in your notice is accurate and that you are authorized to act for the copyright owner.
• Your physical or electronic signature.

HBD may remove disputed material and may terminate accounts belonging to repeat infringers.

19. Third-Party Businesses and Links

The Platform may contain links to third-party websites, payment services, social-media pages, maps, booking services, or other external resources.

HBD does not control and is not responsible for third-party content, policies, security, pricing, availability, or business practices.

Accessing or using a third-party service is at your own risk and may be governed by separate terms.

20. Transactions with Listed Businesses

Any communication, quote, booking, purchase, payment, agreement, service, delivery, refund, dispute, injury, loss, or other transaction between a user and a listed business is solely between those parties.

HBD is not responsible for:

• The acts or omissions of a listed business or customer.
• Product or service quality.
• Payment disputes between users and businesses.
• Cancellations, delays, injuries, property damage, or losses.
• Misrepresentations made by businesses or users.
• The enforcement of agreements made outside the Platform.

Nothing in these Terms prevents a user from exercising rights available under applicable consumer-protection law.

21. No Professional Advice

Information available through the Platform is provided for general informational purposes.

HBD does not provide legal, medical, financial, tax, immigration, licensing, insurance, or other professional advice through ordinary directory listings.

Users should consult an appropriately licensed professional when professional advice is required.

22. Platform Availability

HBD may modify, update, suspend, or discontinue any part of the Platform.

HBD does not guarantee that the Platform will always be available, uninterrupted, secure, accurate, or free from technical errors.

Maintenance, security events, third-party outages, and circumstances outside HBD’s control may affect availability.

23. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM AND ALL DIRECTORY INFORMATION ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

HBD DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, NON-INFRINGEMENT, AND QUIET ENJOYMENT.

HBD DOES NOT WARRANT THAT:

• LISTINGS OR REVIEWS ARE ACCURATE OR COMPLETE;
• A BUSINESS IS QUALIFIED, LICENSED, INSURED, SAFE, OR RELIABLE;
• THE PLATFORM WILL PRODUCE CUSTOMERS, REVENUE, OR BUSINESS RESULTS;
• THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE; OR
• DEFECTS WILL ALWAYS BE CORRECTED.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, the exclusions apply only to the extent permitted by law.

24. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HBD AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST BUSINESS OPPORTUNITIES, OR REPUTATIONAL HARM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HBD’S TOTAL LIABILITY ARISING FROM OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

1. The amount you paid directly to HBD during the six months before the event giving rise to the claim; or
   2. One hundred U.S. dollars ($100).

These limitations do not apply where liability cannot legally be excluded or limited.

25. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless HBD and its owners, officers, employees, contractors, and affiliates from claims, damages, losses, liabilities, judgments, penalties, and reasonable legal expenses arising from:

• Your use or misuse of the Platform.
• Your business activities.
• Your listing or User Content.
• Your violation of these Terms.
• Your violation of applicable law.
• Your infringement of another person’s rights.
• A transaction or dispute between you and another user or business.

HBD may assume control of the defense of a claim subject to indemnification, and you agree to reasonably cooperate.

26. Suspension and Termination

HBD may suspend, restrict, or terminate your account, listing, or access if:

• You violate these Terms.
• Your information appears false, fraudulent, or misleading.
• Payment is overdue, reversed, or disputed.
• Your conduct creates legal, financial, security, or reputational risk.
• HBD receives credible safety complaints.
• Removal is required by law or a valid legal request.
• The Platform or relevant service is discontinued.

When appropriate, HBD may provide notice and an opportunity to correct the issue. Immediate action may be taken when necessary to prevent fraud, harm, unlawful activity, or security risks.

Termination does not eliminate payment obligations incurred before termination.

27. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Any legal action arising from these Terms or the Platform must be brought in a state or federal court with jurisdiction in Broward County, Florida, unless applicable law requires otherwise.

Each party consents to the personal jurisdiction of those courts.

Before filing a claim, the parties agree to make a reasonable good-faith effort to resolve the dispute informally for at least 30 days after written notice.

28. Changes to These Terms

HBD may update these Terms to reflect changes in the Platform, business practices, or applicable law.

The updated Terms will be posted with a revised effective date. When required, HBD will provide additional notice.

Continued use of the Platform after updated Terms become effective constitutes acceptance of the revised Terms.

Material changes will not apply retroactively unless required by law or expressly agreed to.

29. Severability

If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.

30. No Waiver

HBD’s failure to enforce a provision does not waive its right to enforce that provision later.

31. Assignment

You may not transfer or assign your rights or obligations under these Terms without HBD’s written consent.

HBD may assign these Terms as part of a merger, acquisition, restructuring, sale of assets, or other lawful business transfer.

32. Entire Agreement

These Terms, together with the Privacy Policy, payment terms, purchase disclosures, and any additional policies expressly incorporated by reference, form the entire agreement between you and HBD concerning the Platform.

If specific written terms for a paid service conflict with these Terms, the specific service terms will control for that service.
